Mô tả công việc • Developing and leading corporate legal strategy to promote and protect the company's matters • Developing and leading internal audit and corporate compliance programs • Overseeing delivery of legal services and resources to accomplish corporate goals, strategies and priorities • Participating in the formulation of general management policy as a member of the executive management team • Managing a team of corporate counsel and other members of the legal department • Providing legal and integrity advice and counsel to BOD and overseeing all disputes and litigation matters. • Direct, and monitor the team to drafting, reviewing; and negotiating various types of agreements and contracts ensuring consistency in legal services • Participate in the legal appraisal for projects of M&A, fundraising, new company establishment… • Anticipating and identifying legal issues of concern to management and developing effective legal strategies and practical solutions. • Directly work with the law agencies/third parties and participate in settling complaints, denunciations or directly participate in the resolution of procedural proceedings at arbitration agencies, courts to protect the legitimate rights and interests of the Company • Managing, liaising with, and overseeing use of external service providers, including external counsel, and be accountable for managing performance against agreed financial targets. • Update and disseminate documents, policies and regimes of the State related to business activities of the company • Organize, review the company's internal management documents to ensure compliance with authority, documentary format, issuance procedure • Other ad hoc duties as assigned by BOD. Quyền lợi được hưởng • Attractive salary and benefits package. 13th month salary and bonus • Development opportunities: great career path, working with a talented team and challenging new projects. • Entrepreneurial environment with young and ambitious colleagues • Performance review per year. • Annual leave: 16 days/ year • Internal events: Engagement activities, Team building, Year-end party, etc. • Insurance according to Vietnamese Labor Law Yêu cầu kỹ năng • A Bachelor’s or Master’s degree in Law (Law of Business/Economic/Commercial) • Qualified to practice law in Vietnam is preferable • More than 7 years of experience in Law firm, E-commercial, Education, Technical…, in which at least 4 years in management role • Good experience the law & procedures regarding M&A, new company establishment, fund raising • Strong experience in both in-house, Law firm and compliance. • Excellent English (Good verbal and written communication skill; in writing, directly & on telephone, mailing) leadership and inter-personal skills. • Ability to multitask and prioritize daily workload, time management. • Ability to rapidly digest and distill complex issues and formulate strategy/responses. • Have an ability to grasp legal and business issues, balance risks and provide practical and constructive advices in a business environment. • Advice must be practical while ensuring the company’s interests are protected and compliance with law observed.
